How to setup a business partnership in an old-school brick-and-mortar manufacturing business between four friends - two of whom will be the major investors (say A and B), one guy is partial investor who will work full time but is new to this business and doing business in general (C ie: me), and the last guy is the one (D) with the entire business knowledge. He is in the field for past 7 years, already running a profitable trading shop (buying in Saudi, selling in India) in this field and is interested in expanding by setting up 'our own' manufacturing facility in Saudi. I am looking to form a partnership, Company A, with someone to buy a franchise. A couple of points to note are:
This type of franchise only exists in order to each partner to do business (i.e. do deals) within the franchise territory.

I have an idea for a web project. It may have some commercial potential eventually but will basically be a night project for me and the other folks involved. Think of how MetaFilter got its start... hand-rolled / bootstrapped, whatever. My question is: how do you agree on who gets what share of any proceeds down the road? In particular, the design work will be heavy up front but tapering off after launch. Is it insulting to offer a designer a 5% share for a few days work? Does everyone brought in need to be made an equal partner? I'm sure the answer to that is no, but I'm not sure what the alternatives are. Paying people cash for work is not an option. There is no cash, and everyone involved is willing to invest some time and wait for results. The only thing is that some of us will be investing more time than others... so what to do?

My small business is considering starting a partnership / joint venture with a smaller scale operation based in Asia (we are in the US). They have good connections, we have a good organization to do the work. Can anyone recommend a website or book that offers good advice to those considering partnerships / joint ventures?
