You have a contract with Company A, which goes bankrupt. Company B buys the assets and continues operating under the original contract with you. Assuming that Company B did not simply acquire the contract in the bankruptcy, what is the term for what happened? Did Company B adopt the contract? Assume it? Ratify it? Thanks!

There are three of us who are starting a business next year and one of my future co-founders is insisting that everyone signs an employment contract stipulating that we stay at the company for at least three years. Contract violations haven't been discussed yet - the contract hasn't been written yet - but a hefty fine is likely. Is this type of contract common between co-founders? We're in escrow on a house in southern CA, and were recently the unhappy recipients of a Notice to Buyer to Perform
(or more accurately our realtor was, by email.) We got the contingencies lifted but did not quite do so within the 48 hour period dictated by the form, and now the seller wants out. Can they now back out legally? [more inside]

Will the Korean doctor rob me blind?? Here's the long and short of it... my father is the doctor that pioneered tumescent liposuction. he teaches his techniques to other doctors on a regular basis and manufactures the tools and equipment involved with the procedure.
Recently, a doctor from Korea, I'll call him Dr. Lee, took my father's course and liked it so much that he expressed an interest in teaching the course in Korea and to sell my fathers products in his courses. My father is very interested, but feels concerned that he must submit all of his technical files to Dr. Lee so that he can submit them in an application to the Korean FDA for approval. [more inside]

I have been freelancing as TV producer for one company for over 6 months now working on various projects. The boss thinks he needs me to stand down for a few weeks to keep my independent contractor status. All of the IRS info I have found is vague on the point of continuous employment. How long will I have to stand down (aka take the vacation I want to take) before I can return to this company? And legally how long is too long to be a contactor for one company (when does the IRS question contractor vs. employee)?

I'm trying to recover a debt owed to me (currently $1300+) by a client for whom I worked as an independent tech contractor in 2002-03. He's very slowly paid off a lot of the original debt ($5000), but he stopped making the payments almost two months ago with no explanation, and has been completely non-responsive to all my contact attempts ever since. It's a matter of very high personal importance that I recover the full debt in this case (because this is a very slimy guy, and because his company could not have started up or earned money without my work). I also need the money, so this is not something I can walk away from in that sense either.
