Banks, stores and other businesses can't be trusted with personal (and especially financial) data. Nearly every week, a hacker breaks into a website or steal a laptop with 100,000 social security numbers. I own 5 % of an S coporation... Two other people own the rest plus from my understanding there is a certian percentage left open for future partners / growth .. etc. One of the owners is in the hospital and may be out of the picture for quite some time (possibly even years).. his mother the other owner is meeting with the account next week to talk about changing the status from a coporation to a single owner.. to save costs while hes away and to move the business (an e commerce site) to a someone "inactive but cutting even" situation. They want me to continue to do the web work which is why I own 5 % to begin with... but want to just "pay me" -- What is the process involved with this and can they change the company on such a fundamental level like that? I've been a freelance web designer operating as a sole trader for six months. Now I've gotten a contract that can only hire people as limited companies. I've been told to use an umbrella company, but after reading up on them online, I'm just at a loss. I can understand what they do, but why don't companies want sole traders? And does anyone have any recommendations on umbrellas to use? (Save, of course, the Umbrella Corporation)

I've recently started a company, structured as a 'C' Corp, to sell my consulting/contracting services. One of the reasons I'm working as a 'C' corporation is so I can have the company pay all medical expenses. I've read from the web and various IRS publications that as long as the Medical Reimbursement Plan is offered to all employees equally (no problem there) then it can be paid for by the company and written off on the corp taxes. But in order to make the MRP legit what, other then limiting medical expenses to those listed as acceptable by the IRS, do I need to do? Special records? Outside plan administrator?
