I've been doing a fair bit of freelance work, and it's to the point now that I have to sub out certain tasks that are outside my area of expertise. I don't want to make my clients cut multiple checks if I can avoid it–want them to just deal with me to keep it simple and neat.
However, I do not want to be on the hook for income that is actually going to a sub. What to do?

I'd been wanting to form a corporaton for a long time. So many benefits it seems:
track business expenses for income-tax deductions
protect assets against law-suits
gain credibility for certain transactions
privacy
But all the gory details are getting me down...

I am thinking of forming my own company. Not just for tax purposes but to prevent myself from being sued for work that I have done for a client. I primarly do web programming but like all branch out and do some other work. I am just now starting to look into an LLC or Inc. Where does one start with this and does anyone have any experience setting one up? Also what are the benefits of an LLC vs an Inc?

If one has a business that is registered as an LLC (with no partners-- just the one person) and if: the business location (office) is in one state, the owner lives in another state and most of the business (or clients) are in a third state in which state is state income tax due-- where the office is, the owner's residence or where the clients are?
